1. Introduction

Welcome to WithCoach (“we,” “us,” “our,” or the “Platform”). WithCoach operates the website at withcoach.me and related services, providing a marketplace that connects individuals seeking coaching (“Students”) with independent coaches (“Coaches”) across sports, languages, and other skills. By accessing or using the Platform, you agree to be bound by these Terms of Service (“Terms”). If you do not agree, do not use the Platform.

2. Definitions

  • “Platform” refers to the withcoach.me website, mobile applications, and all related services.
  • “User” refers to any individual who accesses or uses the Platform, whether as a Student, Coach, or visitor.
  • “Coach” refers to any individual who lists coaching services on the Platform.
  • “Student” refers to any individual who books or receives coaching services through the Platform.
  • “Booking” refers to a confirmed arrangement between a Student and a Coach for coaching services facilitated through the Platform.
  • “Content” refers to text, images, reviews, profile information, and any other materials submitted to the Platform.

3. Eligibility

You must be at least 18 years of age to create an account and use the Platform. By using the Platform, you represent that you meet this requirement and have the legal capacity to enter into these Terms. If you are using the Platform on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

4. Account Registration

To access certain features of the Platform, you must create an account. You agree to provide accurate, current, and complete information during registration and to keep your account information updated. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You must notify us immediately of any unauthorized use of your account.

5. The Platform as a Marketplace

5.1 Role of WithCoach

WithCoach is a marketplace platform that facilitates connections between Students and Coaches. We are not a coaching provider and do not employ Coaches. Coaches are independent service providers, and WithCoach is not a party to the coaching arrangement between a Student and a Coach.

5.2 No Guarantee of Results

We do not guarantee the quality, safety, or legality of coaching services listed on the Platform, nor do we guarantee the accuracy of Coach profiles, ratings, or reviews. Students are responsible for evaluating Coaches and making their own decisions about bookings.

5.3 Vetting

While we may conduct certain vetting procedures for Coaches, we do not guarantee the identity, qualifications, certifications, or background of any Coach. Any vetting conducted is done as a courtesy and does not constitute an endorsement or guarantee.

6. Bookings and Payments

6.1 Booking Process

Students may browse available Coaches, view real-time availability, and book sessions through the Platform. A Booking is confirmed when the Student completes payment and receives a confirmation through the Platform.

6.2 Payments

All payments for coaching sessions are processed through the Platform's secure digital payment system. By making a payment, you authorize WithCoach to charge the applicable fees to your selected payment method. Prices for coaching sessions are set by Coaches and displayed at the time of booking.

6.3 Service Fees

WithCoach charges a service fee for facilitating transactions on the Platform. Applicable fees will be disclosed to you before you confirm a Booking.

6.4 Payouts to Coaches

Coaches will receive payouts for completed sessions according to our payout schedule, less any applicable service fees. Payout methods and timing are detailed in our Coach onboarding materials and may be updated from time to time.

6.5 Taxes

Users are solely responsible for determining and fulfilling their own tax obligations arising from their use of the Platform, including any income, sales, VAT, or other taxes applicable in their jurisdiction.

7. Cancellation and Refund Policy

7.1 Student Cancellations

Students may cancel a Booking in accordance with the cancellation policy displayed at the time of booking. Cancellations made within the specified window may be eligible for a full or partial refund. Late cancellations or no-shows may not be eligible for a refund.

7.2 Coach Cancellations

Coaches who cancel confirmed Bookings may be subject to penalties, including reduced visibility on the Platform or account suspension. Students affected by Coach cancellations will receive a full refund.

7.3 Disputes

If a dispute arises regarding a Booking, either party may report the issue through the Platform. WithCoach will review the matter and may, at its sole discretion, issue refunds, credits, or other resolutions.

8. Coach Terms

8.1 Coach Responsibilities

Coaches agree to provide services as described in their profiles, show up on time for confirmed Bookings, maintain professional conduct, and comply with all applicable local laws and regulations in the jurisdiction where they provide services.

8.2 Independent Contractor Status

Coaches are independent contractors and not employees, agents, or representatives of WithCoach. Nothing in these Terms creates an employment, partnership, or agency relationship between WithCoach and any Coach.

8.3 Licenses and Certifications

Coaches are solely responsible for obtaining and maintaining any licenses, permits, certifications, or insurance required to provide their services in their jurisdiction.

9. Assumption of Risk and Liability for Harm

9.1 Inherent Risks

Coaching services facilitated through the Platform may involve physical activities, including but not limited to sports, outdoor recreation, fitness training, and water-based activities. These activities carry inherent risks of bodily injury, illness, disability, or death. Such risks may include, but are not limited to, muscle strains, broken bones, concussions, drowning, animal encounters, environmental hazards, equipment failure, and other unforeseen events.

9.2 Assumption of Risk

By booking or participating in any coaching session through the Platform, you acknowledge that you are voluntarily choosing to participate and that you assume all risks associated with such participation, whether or not such risks are described in these Terms. You represent that you are physically capable of participating in your chosen activity and that you have disclosed any relevant medical conditions or limitations to your Coach prior to the session.

9.3 Waiver of Claims Against WithCoach

To the maximum extent permitted by applicable law, you agree that WithCoach shall not be liable for any personal injury, property damage, illness, disability, or death arising from or related to any coaching session arranged through the Platform, regardless of whether such harm results from the negligence of a Coach, another User, a third party, environmental conditions, or any other cause. This waiver applies whether the activity takes place in a private facility, public venue, outdoor environment, or any other location.

9.4 Coach Responsibility

Coaches are solely responsible for ensuring the safety of their sessions, including selecting appropriate venues, assessing environmental conditions, providing necessary safety instructions, and maintaining any equipment used. WithCoach does not supervise, direct, or control the manner in which coaching sessions are conducted and bears no responsibility for a Coach's safety practices or judgment.

9.5 Insurance

WithCoach does not provide insurance coverage for Users. Students and Coaches are each responsible for obtaining their own health, accident, liability, or other insurance as they deem appropriate for their participation in activities facilitated through the Platform.

10. User Conduct

All Users agree not to:

  • Violate any applicable law, regulation, or these Terms.
  • Use the Platform for any fraudulent or deceptive purpose.
  • Post false, misleading, or inaccurate Content.
  • Harass, abuse, threaten, or discriminate against any other User.
  • Circumvent the Platform to arrange or pay for coaching services directly with a Coach you were introduced to through the Platform.
  • Interfere with the operation of the Platform or attempt to gain unauthorized access to any part of it.
  • Use automated tools, bots, or scrapers to access or collect data from the Platform.
  • Post or transmit any malicious code, spam, or unsolicited communications.

11. Content and Intellectual Property

11.1 User Content

You retain ownership of Content you submit to the Platform. By submitting Content, you grant WithCoach a worldwide, non-exclusive, royalty-free, transferable license to use, display, reproduce, and distribute your Content in connection with operating and promoting the Platform.

11.2 Reviews and Ratings

Students may leave reviews and ratings for Coaches. Reviews must be honest, based on genuine experience, and not contain offensive, defamatory, or irrelevant content. WithCoach reserves the right to remove reviews that violate these Terms.

11.3 Platform Intellectual Property

The Platform, including its design, logos, trademarks, text, software, and all other proprietary materials, is owned by WithCoach and protected by applicable intellectual property laws. You may not copy, modify, distribute, or create derivative works from any Platform materials without our prior written consent.

12. Privacy

Your use of the Platform is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal information. By using the Platform, you consent to the practices described in the Privacy Policy.

13. Limitation of Liability

To the maximum extent permitted by applicable law:

  • WithCoach is provided on an “as is” and “as available” basis without warranties of any kind, whether express or implied.
  • WithCoach shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Platform, including but not limited to loss of profits, data, or goodwill.
  • WithCoach's total aggregate liability to you for any claims arising from these Terms or your use of the Platform shall not exceed the amount of service fees you have paid to WithCoach in the twelve (12) months preceding the claim.
  • WithCoach is not liable for any injury, loss, or damage arising from coaching sessions arranged through the Platform.

14. Indemnification

You agree to indemnify, defend, and hold harmless WithCoach and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the Platform, your violation of these Terms, or your violation of any rights of a third party.

15. Dispute Resolution

15.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

15.2 Arbitration

Any disputes arising from these Terms or your use of the Platform shall be resolved through binding arbitration administered in accordance with the rules of the American Arbitration Association. The arbitration shall be conducted in English. Judgment on the arbitration award may be entered in any court of competent jurisdiction.

15.3 Class Action Waiver

You agree to resolve disputes with WithCoach on an individual basis and waive any right to participate in class action lawsuits or class-wide arbitration.

16. Termination

16.1 By You

You may terminate your account at any time by contacting us or using the account settings feature. Termination does not relieve you of obligations incurred prior to termination.

16.2 By WithCoach

We may suspend or terminate your account at any time, with or without cause, and with or without notice. Reasons for termination may include, but are not limited to, violations of these Terms, fraudulent activity, or conduct harmful to other Users or the Platform.

16.3 Effect of Termination

Upon termination, your right to use the Platform ceases immediately. Provisions of these Terms that by their nature should survive termination shall survive, including but not limited to Sections 11, 13, 14, and 15.

17. Modifications

WithCoach reserves the right to modify these Terms at any time. We will notify Users of material changes by posting the updated Terms on the Platform and updating the “Last Updated” date. Your continued use of the Platform after such changes constitutes acceptance of the modified Terms.

18. General Provisions

  • Entire Agreement. These Terms, together with the Privacy Policy, constitute the entire agreement between you and WithCoach regarding your use of the Platform.
  • Severability. If any provision of these Terms is found to be unenforceable, the remaining provisions shall remain in full force and effect.
  • Waiver. The failure of WithCoach to enforce any provision of these Terms shall not constitute a waiver of that provision.
  • Assignment. You may not assign your rights or obligations under these Terms without our prior written consent. WithCoach may assign its rights and obligations without restriction.
